[Users] Charter Proposal Change recommendation - Max 7 people to just state 7 people

I will agree with both Bill and Barry, here. Having served on the BoD of non-profits in the past, there has been difficulty at times with getting a board, and forming a quorum. Bill makes a good point here, that if there is to be a maximum, we must also set a minimum. I would also say that that minimum should be an odd number, to hopefully eliminate potential tie votes. That said, my suggestion would be minimum 3 or 5 directors, maximum 7 is probably good. Another suggestion is that we might want to do alternating 2 year terms, so that we're not electing an entirely new board every 2 or 3 years. Initially, we would obviously need to fill a full board, but perhaps we initially elect approximately half to 1 year (or 2 year) and half to 2 year (or 3 year) terms, to make this possible going forward. This may merit more discussion, and a new proposal to flesh out final details. :)

I too would have to be against this:

-1

I also agree with Barry, if there is to be a maximum of 7 directors then there should be at least a minimum number of 4 directors - there should not be a situation where a small minority of directors (or possibly 1?) could make policy without a decent quorum.

Regards

Bill
